1. Introduction & Platform Scope

Welcome to Badal Lo ("Badal Lo", "we", "us", or "our"), operated by Badal Lo (Private) Limited, a company incorporated in Pakistan having its registered office at Gulberg Center, Main Boulevard, Gulberg III, Lahore, Pakistan.

Badal Lo is a specialized fashion marketplace mobile application and digital technology platform. Our platform enables users to discover, purchase brand-new fashion, exchange garments through mutual dress-to-dress matching, rent luxury occasion outfits for fixed durations, and participate in curated auction bidding.

2. Acceptance of Terms

By accessing, downloading, installing, registering with, or browsing the Badal Lo mobile application or the website located at www.badallo.com, you unconditionally agree to be bound by these Terms & Conditions, our Privacy Policy, our Shipping Policy, and our Refund Policy.

If you do not agree with any part of these Terms, you must immediately cease all access and uninstall the application from all devices.

3. Eligibility & User Verification

To register an account and transact on Badal Lo, you must:

• Be at least 18 years of age or possess the verified legal consent of a parent or legal guardian.
• Reside in Pakistan with a valid Pakistani mobile number capable of receiving SMS One-Time Passwords (OTPs).
• Possess a valid Computerized National Identity Card (CNIC) or valid payment method recognized by the State Bank of Pakistan (SBP) when engaging in high-value transactions, rental deposits, or seller payouts.

4. Accounts & Security

You are solely responsible for maintaining the confidentiality of your credentials and OTP verification codes. Any transaction or message initiated through your verified account credentials will be deemed executed by you. You must immediately report any unauthorized access to badallo911@gmail.com.

5. User Responsibilities & Conduct

Users agree to act in good faith, communicate respectfully with counter-parties, accurately depict all items, package garments securely, and adhere to agreed shipment windows. Misrepresentation of garment condition, designer labels, fabric authenticity, or sizing constitutes a material breach of these Terms.

6. Dress Listings & Authenticity

Every listing submitted to Badal Lo must represent genuine Pakistani or international formal, bridal, festive, luxury prêt, or western fashion.

• Accurate Imagery: Photos must depict the actual physical item in the user's possession. Stock imagery or photographs taken from original fashion brand campaigns without ownership of the exact item are strictly prohibited.
• Condition Transparency: Any minor defects, alterations, dry-cleaning requirements, fabric pulls, missing embellishments, or wear must be prominently disclosed in the listing description.
• Authenticity Guarantee: Sellers warrant that garments are authentic originals or accurately categorized artisan reproductions. Counterfeit luxury claims are strictly banned.

7. Brand New Purchases & Pricing (In PKR)

All prices on Badal Lo are displayed and transacted exclusively in Pakistani Rupees (PKR) inclusive of applicable taxes unless specified otherwise.

For brand-new items listed by partner boutiques and verified designers, orders are processed and confirmed upon successful authorization of payment through our designated payment gateway or verified Cash on Delivery (COD) arrangement where enabled.

8. Dress-to-Dress Exchange Module

The Exchange module facilitates reciprocal, garment-to-garment barter between users.

• Dress-to-Dress Matching: Exchange matching operates exclusively on a garment-to-garment basis. User A likes User B's dress listing; User B likes User A's dress listing. When a mutual match occurs ("IT'S A MATCH"), both parties are notified.
• Non-Social / Non-Dating Context: The Exchange mechanic is strictly a fashion discovery and barter utility. Under no circumstances may Exchange matching be utilized for personal dating, interpersonal solicitation, or non-fashion social interactions.
• Mutual Dispatch Commitment: Once an exchange agreement is finalized in-app, both participants must dispatch their respective garments within 72 hours via Badal Lo verified logistics. Failure to dispatch constitutes an immediate strike and platform suspension.

9. Luxury Rental Module

The Rental module allows users to access high-end bridal, mehndi, formal, and luxury dresses for designated occasion windows without purchasing them outright.

• Rental Term: Standard rental periods are selected during booking (e.g., 3-day, 5-day, or 7-day bookings). The rental duration commences on the morning of delivery and concludes on the morning of scheduled courier return pickup.
• Garment Care & Cleanliness: Renters agree to handle rented garments with the utmost care. Under no circumstances may renters attempt unapproved spot cleaning, chemical washing, or permanent tailoring alterations. Professional post-rental dry cleaning is arranged through Badal Lo partner facilities.
• Security Deposit & Damage Liability: For high-tier occasion dresses, a refundable security deposit is held. Minor wear (such as normal hem dusting) is tolerated; however, tears, permanent stains, unremovable burns, or missing jewelry work will result in deposit deductions or full garment replacement billing.
• Late Returns: Renters must have the dress packed and ready for return pickup on the agreed return date. Unexcused late returns incur a daily late fee of 15% of the total rental fee per day.

10. Curated Auction Module

Badal Lo provides a controlled, transparent auction venue for selected rare, designer, or high-demand fashion pieces.

• Transparent Bidding: All bids placed are legally binding purchase commitments. Once submitted, a bid cannot be retracted.
• Reserve Prices: Sellers may set a minimum reserve price. If bidding concludes below the reserve, no transaction is mandated.
• No Gambling Mechanics: Badal Lo auctions are strictly fixed-duration public bids for physical fashion items. No entry fees, chance-based draws, or speculative wagering exist within the platform.
• Winning Bidder Obligation: The winning bidder must complete checkout within 24 hours of auction close. Failure to settle the winning bid results in permanent bidding forfeiture.

11. Payments & Settlement (PayFast Compliance)

Digital payments on Badal Lo are processed in compliance with State Bank of Pakistan (SBP) electronic funds transfer and payment service regulations via our licensed Payment Service Provider, Premier Systems (Pvt) Ltd (PayFast).

• Payment Channels: Users may transact via Debit/Credit Cards (Visa, MasterCard, PayPak), 1LINK UnionPay, Bank Accounts, and digital mobile wallets (JazzCash, EasyPaisa).
• Merchant Discount Rate (MDR) & Fees: Applicable transaction fees, convenience charges, or platform commissions are displayed transparently before payment confirmation.
• Settlement & Payouts: Seller proceeds from verified sales, rentals, or successful auctions are credited to the user's Badal Lo wallet balance and disbursed to their verified Pakistani bank account or IBAN following the standard 48-hour post-delivery inspection window.

12. In-App Communication & Chat

The platform provides in-app messaging to coordinate measurements, fit queries, and order logistics. Users agree not to use chat for harassment, offensive language, solicitation of off-platform payments, or unsolicited advertising. Badal Lo reserves the right to review chat transcripts where disputes or fraud reports arise.

13. Prohibited Conduct

Users are strictly prohibited from:

• Circumventing platform payments by encouraging counterparties to transact outside the Badal Lo escrow system.
• Listing stolen, rented, or counterfeit apparel.
• Using bots, scrapers, or automated bidding algorithms in auctions.
• Harassing, threatening, or impersonating other users, staff, or fashion designers.
• Uploading malicious code or attempting to compromise platform infrastructure.

14. Intellectual Property

"Badal Lo", the Badal Lo logo, app designs, visual styling, illustrations, and branding elements are the exclusive intellectual property of Badal Lo (Private) Limited. Unauthorized reproduction, imitation, or commercial use is strictly prohibited under Pakistani copyright and trademark laws.

15. User Content & Media Rights

By uploading photographs, styling videos, and descriptions of garments to Badal Lo, you grant Badal Lo a non-exclusive, royalty-free, worldwide license to display, crop, and promote such media on our marketing channels, social media, and app feeds solely for marketplace discovery.

16. Transaction Responsibilities

Badal Lo provides the digital marketplace infrastructure, escrow safeguards, verification tools, and logistics coordination. Sellers and renters warrant clear legal title and accurate representation of all apparel. Buyers and renters warrant timely payment and accurate delivery details.

17. Order Cancellations

18. Shipping Policy References

Logistics, pickup schedules, courier insurance, delivery windows across Lahore and nationwide Pakistan are governed by our official Shipping & Delivery Policy.

19. Refund Policy References

Eligibility criteria for garment returns, return inspection windows, rental deposit releases, and banking reversals are governed by our official Refund & Return Policy.

20. Disclaimers & Platform Role

Except as explicitly stated in our buyer protection guidelines, the platform is provided on an "as is" and "as available" basis. Badal Lo does not warrant uninterrupted service or that garment colors will display 100% identically across different mobile display hardware.

21. Limitation of Liability

To the maximum extent permitted by Pakistani law, Badal Lo and its directors, employees, or affiliates shall not be liable for any indirect, punitive, incidental, or consequential damages resulting from user disputes, transit delays by third-party couriers, or unauthorized account access. Our total aggregate liability shall not exceed the transaction amount paid for the specific order under dispute.

22. Suspension & Account Termination

We reserve the right to suspend or permanently terminate any user account that violates these Terms, engages in deceptive listings, fails to dispatch agreed exchanges, or breaches transaction safety rules.

23. Modifications to Agreement

We may periodically revise these Terms to reflect legislative updates, State Bank directives, or new platform features. Notice of material revisions will be provided via app notifications or banner alerts on www.badallo.com.

24. Governing Law & Official Notices

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. The courts of Lahore, Punjab shall have exclusive jurisdiction.
